Acceptance of Terms

By accessing or using CarbonTrail's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

These Terms apply to all users of the service, including merchants, their employees, and any third parties accessing the service on behalf of a merchant.

Service Description

CarbonTrail provides carbon footprint estimation and offset services for e-commerce businesses. Our services include:

  • Automatic carbon emission calculations for orders
  • Customer-facing checkout widgets for carbon offset opt-ins
  • Dashboard and reporting tools
  • Integration with carbon offset providers
  • Analytics and sustainability insights
CarbonTrail provides estimates, not certified measurements. Our calculations should not be used for regulatory compliance without independent verification.

Account Terms

Registration

To use CarbonTrail, you must create an account by connecting your e-commerce platform. You agree to provide accurate, current, and complete information during registration.

Account Security

  • You are responsible for maintaining the security of your account
  • You must notify us immediately of any unauthorized access
  • You are responsible for all activities under your account
  • We reserve the right to suspend accounts for security concerns

Payment Terms

Subscription Fees

CarbonTrail offers subscription plans billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

  • Prices are listed in USD unless otherwise specified
  • Subscription fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Overdue payments may result in service suspension

Carbon Offset Costs

Carbon offset purchases are billed separately from subscription fees. Offset costs are passed through at cost plus a transparent margin as disclosed in your dashboard.

Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Misrepresent carbon offset claims to customers
  • Attempt to circumvent usage limits or security measures
  • Interfere with or disrupt the service
  • Reverse engineer or attempt to extract source code
  • Use the service to compete with CarbonTrail
  • Resell or redistribute the service without authorization

Intellectual Property

CarbonTrail and its licensors retain all rights to the service, including all software, content, trademarks, and other intellectual property. You receive a limited, non-exclusive license to use the service according to these Terms.

You retain ownership of your data. By using the service, you grant us a license to use your data as necessary to provide and improve the service.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We specifically disclaim warranties regarding:

  • Accuracy of carbon emission estimates
  • Uninterrupted or error-free service
  • Fitness for a particular purpose
  • Results from using the service
  • Third-party offset provider performance

Limitation of Liability

To the maximum extent permitted by law, CarbonTrail shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability for any claims arising from these Terms or the service shall not exceed the amount you paid us in the twelve months preceding the claim.

Termination

By You

You may cancel your subscription at any time through your dashboard or by contacting support. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason with reasonable notice. We may terminate immediately for serious violations.

Effect of Termination

  • Access to the service will be revoked
  • Your data will be retained for 30 days, then deleted
  • Offset transaction records are retained for audit purposes
  • Outstanding fees remain due

General Provisions

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the service. Continued use after changes constitutes acceptance.
